Legal documents can now be executed by one company director only

A change in the law has made it easier for companies to execute legal documents. The change came into force on 6 April 2008.

Previously, for a company to enter into a contract, the document had to be executed by two of the company’s authorised signatories (two company directors or one director and the company secretary) or by affixing the company’s common seal to the document; but since the 6 April a single director can execute a document on behalf of the company, so long as the director executes the document in the presence of a witness, who attests that the signature is genuine...
